Terms of Service

1. Acceptance

By accessing or using NORDWEND (the "Service"), you agree to be bound by these Terms of Service and our Data Processing Agreement (DPA). If you do not agree, do not use the Service.

2. Description of the Service

NORDWEND is a B2B investment-intelligence platform for Registered Investment Advisor (RIA) firms and Family Offices / authorized principals. It provides portfolio analytics, research briefings, meeting-preparation draft packs, diagnostic reconciliation, Family Office Total Wealth tooling when enabled, and compliance-oriented insights. It is an informational tool; it is not a custodian, order-management system, billing system, or trade-execution system of record.

3. Eligibility

You must be a registered investment advisor, financial professional, Family Office operator or principal, or an authorized representative of such an entity. By using the Service you represent and warrant that you meet these requirements and that you have authority to bind your firm or office.

4. Account and User Responsibilities

• Maintain the confidentiality of account credentials.
• Provide accurate portfolio and client data.
• Comply with all applicable securities laws and regulations.
• Ensure lawful basis and client disclosures for any data you submit.

5. Acceptable Use

You agree not to misuse the Service, attempt to gain unauthorized access, reverse engineer, resell access, or use the Service to violate any law or regulation.

6. Intellectual Property

All content, design, software, and branding are owned by RES Solutions Ltd. („ВЕИ СОЛЮШЪНС" ЕООД, UIC 208172790). You retain ownership of the data you submit; you grant RES Solutions Ltd. a limited license to process it solely to provide the Service.

7. Data Processing and Privacy

Personal data is processed in accordance with our Data Processing Agreement and applicable privacy laws (GDPR / CCPA).

8. Third-Party Data and Services

The Service integrates third-party providers (e.g., Plaid for account linking, Alpaca for broker data, Stripe for billing, and market-data providers). These providers are subject to their own terms and privacy policies; NORDWEND is not responsible for third-party data accuracy or availability.

9. Disclaimer — Not Investment Advice

NORDWEND provides informational insights only and does not provide investment, legal, tax, or accounting advice. It is not GIPS-verified, does not advertise performance, and is not SOC2 certified. You are solely responsible for your own investment decisions and for complying with your regulatory obligations.

10. Limitation of Liability

To the maximum extent permitted by law, RES Solutions Ltd.'s total liability arising out of or relating to the Service shall not exceed the fees you paid in the twelve (12) months preceding the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind.

11. Termination

Either party may terminate the agreement with thirty (30) days' written notice. Upon termination, your access will be revoked and your data handled per the DPA retention terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Bulgaria (courts of Sofia), except where mandatory local consumer laws apply.
